Terms and Conditions of Use

Welcome to Exsited, operated by Web Mascot Pty Ltd T/A WebAlive (“we”, “us”, or “our”). By accessing or using our platform, you agree to be bound by the following Terms and Conditions (“Terms”). If you do not agree, you must not access or use Exsited.

1. Definitions

• “Platform” refers to the Exsited integration-first operations software, including portals, APIs, modules, documentation, and support channels.
• “User” refers to any individual or entity accessing or using the platform.
• “Client Data” refers to any data uploaded, transmitted, or processed through Exsited by you or on your behalf.

2. Account Registration and Access

• You must provide accurate and complete information to create an account.
• You are responsible for all activity on your account and maintaining the confidentiality of your login credentials.
• We reserve the right to suspend or terminate your account for breach of these Terms or misuse of the platform.  

3. Description of Services

• Exsited provides a cloud-based operations platform with functionality for integrations, inventory management, portal workflows, and more.
• Specific features may vary depending on your subscription plan.

4. Free Trials and Freemium Access (if applicable)

• We may offer free trials or limited-feature plans at our discretion.
• Access under such plans is provided “as is” with no warranty or service level agreement (SLA).
• We may discontinue free plans or convert trials to paid plans with at least 7 days’ prior notice.

5. API Access and Rate Limits

• API access is governed by usage tiers. Excessive usage may result in throttling or suspension.
• You must not misuse or reverse-engineer the API.
• API credentials must be kept secure.

6. Payment and Billing

• Paid plans are billed in advance, typically monthly or annually.
• All fees are exclusive of taxes unless stated otherwise.
• We reserve the right to change pricing with reasonable prior notice.

7. Termination

• You may terminate your account at any time via your account settings.
• We may suspend or terminate access for cause, including breach of these Terms, fraud, or risk to platform security.
• Upon termination, your data may be retained for up to 30 days to allow for recovery, after which it may be permanently deleted at our discretion.

8. Data Ownership and Security

• You retain all rights to your Client Data.
• We implement reasonable security measures but cannot guarantee absolute protection.
• You are responsible for ensuring that data shared with us is lawfully obtained and managed.

9. Use of Third-Party Services

• Exsited may integrate with third-party systems (e.g., Xero, Shopify).
• You are responsible for complying with those services’ terms.
• We are not liable for downtime, data loss, or other issues resulting from third-party failures.

10. Acceptable Use

You agree not to:

• Use the platform for unlawful activities;
• Attempt to gain unauthorised access to systems or data;
• Transmit malware, spam, or interfere with the platform’s functionality;
• Resell, sublicense, or commercially exploit the platform unless expressly permitted.

11. Intellectual Property

• All intellectual property in the platform (excluding your data) is owned by Web Mascot Pty Ltd T/A WebAlive or its licensors.
• You may not copy, modify, or distribute any part of the platform without permission.

12. Beta Services and Experimental Features (if applicable)

• Beta features may be offered with limited support and no uptime guarantees.
• Use is at your own risk and may involve bugs or instability.

13. Disclaimers

• The platform is provided “as is” and “as available”.
• We do not guarantee that the platform will be error-free, uninterrupted, or fit for your specific purposes.

14. Limitation of Liability

• To the maximum extent permitted by law:
• We are not liable for any indirect, consequential, or incidental damages;
• Our total liability is limited to fees paid by you in the past 12 months.

15. Indemnification

You agree to indemnify and hold harmless Web Mascot Pty Ltd T/A WebAlive from any claims, losses, or damages arising out of your misuse of the platform or violation of these Terms.  

16. Changes to These Terms

• We may update these Terms from time to time.
• Continued use after changes are posted constitutes your acceptance.
• We will notify you of material changes via email or through the platform.

17. Governing Law

• These Terms are governed by the laws of Victoria, Australia.
• Any disputes shall be resolved in the courts of that jurisdiction.
